TERMS OF SERVICE Azur AI | Effective Date: 14 March 2026

These Terms of Service ("Terms") govern your access to and use of services provided by Azur AI. By engaging our services or accessing our website, you ("Client", "you") agree to be bound by these Terms.

1. About Us

Azur AI provides AI consulting services including chatbot setup, voice receptionist systems, and AI automation, helping businesses improve efficiency, reduce costs, and drive sales.

2. Eligibility

By entering into an agreement with Azur AI, you confirm that:

  • If an individual, you are at least 18 years of age with capacity to enter binding contracts

  • If acting on behalf of a business, you have authority to bind that entity to these Terms

  • Your use of our services will comply with all applicable laws in your jurisdiction


3. Services

The specific services to be provided will be set out in a Statement of Work (SOW) or service agreement. These Terms apply to all such engagements.

Regarding AI-powered services, you acknowledge that:

  • AI outputs are probabilistic and may not always be accurate or complete

  • Azur AI is not liable for errors or unintended outputs produced by underlying AI models

  • You are responsible for reviewing and validating AI outputs before acting on them, particularly in regulated or high-stakes contexts

  • You agree to comply with the usage policies of all AI providers integrated into your solution (including OpenAI and Anthropic)

We reserve the right to modify or enhance our services at any time with reasonable notice to active clients.


4. Trial Period

Where a trial is offered:

  • The trial scope and duration will be specified in writing prior to commencement

  • Either party may terminate at the end of the trial without further obligation

  • Continuation beyond the trial period is subject to the payment terms in Section 5


5. Payment Terms

Fees will be agreed in writing prior to commencement. All fees are exclusive of VAT unless stated otherwise.

Where services are ongoing or subscription-based, fees are charged on a recurring basis as agreed. By providing payment details, you authorise Azur AI to charge your payment method on that recurring basis until the agreement is terminated in accordance with Section 11.

Payments are processed via Stripe. Azur AI does not store full payment card details.

Refunds are only issued for work not yet commenced or delivered. No refund will be provided for completed work or any portion of a retainer period already served. Refund requests must be submitted in writing within 14 days of the relevant invoice date.

Invoices are due within 14 days of issue. Azur AI reserves the right to charge statutory interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.


6. Client Responsibilities

You agree to:

  • Provide accurate and timely information required for service delivery

  • Use our services and AI outputs only for lawful purposes

  • Not reverse engineer, decompile, or attempt to extract source code from any Azur AI systems or tools

  • Not resell or sublicense our services or AI outputs without prior written consent

  • Comply with the acceptable use policies of all AI providers integrated into your solution

  • Ensure any personal data processed through AI systems we configure complies with applicable data protection laws


7. Intellectual Property

Upon full payment, you own the final deliverables produced specifically for you (e.g. custom chatbot configurations, automation workflows, bespoke integrations).

Azur AI retains ownership of all proprietary tools, methodologies, frameworks, templates, and background intellectual property, even where incorporated into your deliverables. You are granted a non-exclusive, non-transferable licence to use such elements as embedded in your deliverables.

AI-generated outputs are subject to the IP terms of the relevant provider (e.g. OpenAI, Anthropic). You are responsible for satisfying yourself as to the IP status of such outputs in your jurisdiction.

You retain ownership of all content and data you provide to us. You grant Azur AI a limited licence to use such materials solely for service delivery.


8. AI Usage Restrictions

You agree not to use any AI systems or outputs we deliver to:

  • Generate or spread misinformation, deepfakes, or deceptive content

  • Discriminate against individuals on the basis of protected characteristics

  • Facilitate unlawful surveillance or privacy violations

  • Violate OpenAI's, Anthropic's, or any other applicable AI provider's usage policies

  • Develop or enhance competing AI products or services without prior written agreement

Azur AI reserves the right to immediately suspend or terminate services if we reasonably believe your use violates these restrictions or causes harm to third parties.


9. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party in connection with the services, and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination for two years.


10. Limitation of Liability

To the fullest extent permitted by law:

  • Azur AI is not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, loss of data, or business interruption

  • Our total aggregate liability shall not exceed the total fees paid by you in the three months preceding the claim

  • Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law

You acknowledge that AI systems can produce unexpected outputs and that it is your responsibility to review all AI-generated content before reliance or publication.


11. Termination

Either party may terminate an ongoing agreement by providing 30 days' written notice, unless a different period is specified in the SOW.

Azur AI may terminate immediately and without notice if you materially breach these Terms and fail to remedy within 14 days of written notice, use services unlawfully or in a manner causing harm, or become insolvent.

Upon termination, all outstanding fees for completed work become immediately payable. Clauses relating to IP, confidentiality, liability, and governing law survive termination.


12. Dispute Resolution

Step 1 – Negotiation: Parties will attempt to resolve disputes in good faith within 30 days of written notice.

Step 2 – Mediation: If unresolved, either party may refer the dispute to mediation via CEDR or a mutually agreed mediator.

Step 3 – Litigation: If mediation fails, either party may bring proceedings in the courts of England & Wales, which shall have exclusive jurisdiction.


13. Governing Law

These Terms are governed by the laws of England & Wales.


14. General Provisions

  • Entire Agreement: These Terms and any applicable SOW constitute the entire agreement between the parties

  • Amendments: We may update these Terms periodically; continued use of services constitutes acceptance

  • Severability: If any provision is unenforceable, the remaining provisions continue in full force

  • Waiver: Failure to enforce a provision does not waive our right to enforce it later

  • Assignment: You may not assign your rights without our prior written consent
